Governance & Transparency

Related-Party Disclosure

Transparency is core to PDBHAI's mission. We disclose our relationships, funding sources, and potential conflicts of interest openly.

Our commitment: PDBHAI discloses all relationships, funding sources, and potential conflicts of interest so families and advocates can trust the information we provide.

The Founder

The Pediatric Day-Based Healthcare Access Initiative was initiated by Scott Silva, who is the founder and operator of Aegis Inside LLC.

Aegis Inside LLC develops Harbor, a separate technology platform that provides:

  • PHI-enabled compliance and workflow automation for pediatric day-based healthcare providers
  • Provider operations, billing, and coordination tools
  • Commercial software services for healthcare organizations

PDBHAI and Harbor Are Separate

PDBHAI and Harbor are distinct projects with different missions, governance, and funding.

Aspect PDBHAI Harbor
Mission Charitable public guidance for families Commercial platform for providers
Governance Charitable project preparing for fiscal sponsorship Commercial LLC
Users Families, advocates, navigators Healthcare providers and organizations
Data Handling Non-PHI only; no medical records PHI-enabled; BAA-compliant
Funding Charitable donations and sponsorship (pending fiscal sponsor) Commercial licensing and subscriptions

Related-Party Services and Support

Scott Silva contributes time and expertise to PDBHAI as the founder and strategic lead. Any related-party services, technology contributions, licensing, compensation, or infrastructure support involving Aegis, Harbor, or the founder are governed by PDBHAI's conflict-of-interest and charitable-use policies, and will be subject to fiscal sponsor review and approval once fiscal sponsorship is active.

PDBHAI Policies Governing Related-Party Relationships

Conflict of Interest & Related-Party Controls

Detailed policies for reviewing and approving any related-party transactions.

Founder Neutrality Policy

Ensures the founder's interest in Harbor does not influence PDBHAI's neutrality or family-centered focus.

Seed IP, Hosting & Related-Party Cost Policy

Guidelines for infrastructure, technology, and operational costs.

Sponsorship and Underwriting Policy

Rules for accepting support from providers, vendors, or commercial entities.

What PDBHAI Does NOT Do

PDBHAI strictly separates from Harbor and does not:

Operate as a Harbor funnel or lead generation source
Sell family contact information or leads
Rank providers based on Harbor adoption or payment
Require families to use Harbor or any commercial platform
Use charitable funds for Harbor commercial development
Accept donations directly through Aegis or personal accounts (only through fiscal sponsor once active)
Provide preferential placement to Harbor customers

Transparency and Accountability

PDBHAI maintains its own conflict-of-interest policies and charitable governance controls during the pre-sponsorship development phase. Once fiscal sponsorship is active, PDBHAI's related-party relationships, spending decisions, and governance will be subject to review and oversight by the fiscal sponsor.
